Terms of Use Agreement

 

Definitions

This Terms of Use may be referred to herein as the 'Agreement', and the 'TOU' (Terms of Use). 

 

Green Crowds may be referred to herein as 'GC', 'the Company',

 

GreenCrowds.org is the web platform for crowdfunding services and may be referred to herein as the 'Site', 'US', OR 'WE'.  The Company's crowdfunding services is referred to as the 'Services'. 

 

'Users' are anyone that uses our web platform.

 

The Small Grants Program (SGP) creates Green Crowds crowdfunding 'pages' for the purpose of raising money to fund a project or idea herein called a 'Team' or 'Project.' 

 

 'Team or Project Contributors' and 'Team or Project Supporters' are the same–people and / or organizations that make financial donations to Teams.

 

'User Content' is defined as any information, including but not limited to, text, images, video, audio, software, data, scripts, posting, provided by the User of our services or any services associated with usage of the site, such as social media sites. The above aforementioned defined terms may be written in uppercase, lowercase, or a combination.

 

Green Crowds offers a crowdfunding service for GEF-UNDP The Small Grants Program. Registered users create 'Teams' and raise money from 'Contributors' who pledge financial support to the User's Team.

 

Please read the following Terms of Use agreement ('Agreement') prior to joining and using Green Crowd's services.  By using Green Crowds (the 'Site') services (the 'Service') you (the 'User') agree to the terms of this Agreement and our Privacy policy (link to).  You also agree that we may modify the terms of this Agreement and the Privacy Policy form time to time. Changes to this agreement will be posted on this site. Use of our service after the posting of any amendments to this Agreement acknowledges acceptances of new terms.

 

BY USING THIS SITE AS EITHER A Team CREATOR OR  A CONTRIBUTOR TO A Team AND / OR CLICKING ON ANY 'SIGN UP',  'START' OR 'LOGIN' BUTTON ON Green Crowds, BINDS YOU  TO ALL THE TERMS OF THIS AGREEMENT AND OUR PRIVACY POLICY.

 

Registration

User certifies to the Company that if User is an individual (i.e., not a corporation) user is at least 18 years of age and able to form a legally binding contract.  If the user is under the age of 18 years he / she will need the consent of a parent or legal guardian.

 

User provides a valid email address. User agrees that all registration information he / she submitted is truthful and accurate. User shall not impersonate a real person, or existing legal organization. User will be held liable for any misrepresentation.  The Company is not required to perform background investigation or verify the identity of Users of the Services.

 

User is required to register and create a password in order to use the 'Services'. You are entirely responsible for maintaining and keeping the confidentiality of your password.   You are solely responsible for any and all activities that occur under your account, including any taxes and fees associated with your use of credit card or electronic payments in the donation process. In accepting to these terms, you also confirm that any funds used in the platform donation process come from licit sources and have been obtained through legally accepted modes of earning these funds.

 

You the User agree to immediately notify the Company of unauthorized use of your account. The Company will not be liable for any unauthorized use of your account or any other breach of security.  Furthermore, the Company will not be held liable for any loss, or damage that you may incur as a result of unauthorized use of your account. Moreover, you could be held liable for losses incurred by the Company or another party as a result of unauthorized use of your account.

 

User Content

You the User understand and agree that all Users' Content related to your account (ideas, text, images, video, data, scripts, posting, software) will be displayed on the Company's web site located at www.GreenCrowds.org and web properties.

 

You also understand and agree that only projects curated by SGP Ecuador are included in www.greencrowds.org and that the Company may use the information from the projects in its marketing and promotional initiatives to generate exposure and awareness of the Services and User Teams. 

 

User understands that the Company does not own, control, endorse, or verifies information related to the project Teams, but does work closely with SGP Ecuador, which monitors the quality and progress of the project impact.

 

Furthermore, the Company reserves the right to deny and / or remove any User Content at its discretion, for what ever reason if deems necessary to do so.

 

Prohibited Use

You agree to adhere to all applicable laws, including, but not limited to local, domestic, national and international laws and regulations.    The following list provides examples of the type of User Content or Funds that is not allowed and that you will not provide.

 

This list is only an example of types of user content that is not allowed, as we cannot possibly list all prohibited content.  We will not allow:

  • Content or donations that impersonate a real person, entity, or organization.
  • Content that is inaccurate, false, deceptive, and / or misleading.
  • Content or funds that proceed from infringement upon trademarks, trade secrets, patents, copyrights, or any other proprietary rights of any other person or entity or contractual agreement.
  • Content that is abusive, racist, harassing, defamatory,  threatening, profane, libelous, sexually explicit, links to adult content, excessive violence, vulgar and  obscene or contrary to the principles and values of the United Nations.
  • Funds that come from illicit sources.
  • Content that involves pyramid schemes, chain letters, spam, unsolicited or unauthorized advertising, lottery, gambling, sweepstakes, and other similar content.
  • Use of malware, viruses or any type of potentially disruptive codes or action that could interfere with the operations of the Services.
  • Content that promotes any illegal services or products.
  • Content that endorses or encourages criminal conduct.

 

Suitable Fundraising Teams

Our platform is suitable for all types of Teams as long as the Team and / or content is not prohibited as outline in this here TOU and is compliant with all applicable local, domestic, national, and international laws and regulations.  Users of GreenCrowds.org agree to fundraise for the objective of contributing to charitable needs and the only acceptable transaction towards Teams is that of donations.

 

Use of Service

You agree not to use the Services in any way that will violate the law and regulations (local, state, national and international) or this Agreement. User will be responsible for all his / her actions with use of the Company's site.

 

Fees

GreenCrowds.org is a web platform created by Allied Crowds exclusively for SGP-funded projects, which use our services to raise money for your cause. 

 

Unlike other crowdfunding sites, 'Teams' and 'Projects' get to keep the money they've raised regardless of whether they've reached their target fundraising goal or not. All donations to projects are pooled together in Allied Crowds bank accounts in the United Kingdom and are then transferred directly to the bank accounts of the community-based associations in Ecuador once the campaign period ends.

 

A breakdown of fees associated with the operations of the platform, and deductions before funds are transferred to the 'Projects' are available upon request.

 

When a Contributor pays by credit card or PayPal, the credit card company and PayPal standard processing fees apply.  Check with PayPal and credit card processors for current rates. 

 

Third-party fees do not apply for refunded contributions. 

 

Tax

User is responsible for paying all applicable taxes, as funds raised using the Service could be taxable as income. User is advised to consult with a tax professional for more information on your local tax laws.

 

Security

Green Crowds may employ methodologies and technological security, such as encryption, back up data, password protection, and other reasonable measures to help protect your personally identifiable information from unauthorized access. 

The Company relies on third-party secure servers, such as Stripe when certain types of sensitive data and information is transferred and received, such as financial and personally identifiable information. 

 

The credit card information from a User that  will only be used for this transaction on a secure third-party online payment platform.  

 

Even though we take every known precaution to secure your data, no data transmission over the public internet can be guaranteed to be 100% secure.

 

You are solely responsible in all respects for all use of and for protecting the confidentiality of any username, email verification and password that may be given to you or selected by you for use on our website. You may not share these with or transfer them to any third parties. You must notify us immediately of any unauthorised use of them or any other breach of security regarding our website that comes to your attention, at info@greencrowds.org .

This site is as secure as we can reasonably make it using encryption technology and adopting security and anti-virus practices routinely used and adopted as a matter of good practice. However, you should understand that every internet site, and any computer that connects to the internet, as well as all internet communication, is susceptible to attack by computer hackers and viruses. We will do all we reasonably can to protect this site and all internet communications passing between us and you, but we cannot be held responsible for: any losses fairly attributable to your failure to take reasonably precautions to prevent interception of or interference with any such communications (including, without limitations) failure to use and keep up to date firewalls and anti-virus software on your own computer; or any losses arising from fraudulent or unauthorised use of your credit or debit card or other forms of payment. If you become aware of fraudulent use or your card, or if it is lost or stolen, you should notify your card issuer.

 

 

Electronic Communication 

The company will communicate with you the user via electronically, either by posting notice on the Web site or sending electronic mail (email).  By using our Services You agree that any agreements, notices, disclosures,  receipts, conformations,  or other communications provided to you by the Company electronically satisfy any legal requirement that such communications would satisfy if they were in writing.

 

We may send you information and updates pertaining to your account, in addition to periodic Company news, updates and / or related product or services.  We will keep this a minimum. However, you may opt-out at any time by unsubscribing.  We may also retain the content of your email messages used to correspond with us.

 

Termination

  1. The Company may terminate this Agreement, your account, and / or access to the Services during any time.  Such termination may be proceeded by a termination notice either posted on the company's web site or emailed to you.
  1. You the user may terminate this Agreement for any reason at any time by either, i.) discontinuing to use the Service and the company's web site; ii) providing us notice to close your account.

 

Transfer and Modification Rights

The Company will from time to time offer promotional deals, which may include special rates,  introducing new  services, rewards, and contests.  We will advise you of this by posting any new changes on this site.  However, such changes may or may not apply to you and this agreement.

 

The Company reserves the right to assign, transfer or delegate all or any of its rights or obligations under this Agreement to any Companies at its sole discretion.  Furthermore, the Company  reserves the right, at its sole discretion, to revise, change, modify, add, or remove any portion of the Service or this Agreement, in whole or in part, at any time. Any changes in ownership, rights, or obligations will be posted on the Company's web site.

 

Right to Content (and Team)

The Company does not claim any ownership rights to content (refer to definition of user content) submitted by the user and third-party partners and / or affiliates. 

 

Even after posting content to our site the user continues to retain any such rights that he / she may already have. 

 

By posting content to the Company's web site you give us a limited license to use, modify, delete from, add to, publicly perform, publicly display, reproduce, and distribute such content through or in connection with the Company's crowdfunding services (except if the Team is marked 'private' we will not be distributing outside your GreenCrowds.org crowdfunding network).  By using our Service, you understand and agree that your content is provided at your own risk.

  • The Company's web site contain content of Allied Crowds ('Allied Crowds Content'). Allied Crowds Content is protected by copyright, trademark, patent, trade secret and other laws, and the Company owns and retains all rights to Allied Crowds Content and the Allied Crowds Services. 
  • The Company's web site also contains User Content. You may not copy, broadcast, modify, distribute, sell or otherwise use any User Content that appears on the Company's web site.
  • The Company's web site contains content of third party entities, that are not Users.  Third-party content is protected by copyright, trademark, patent and other laws.

Refunds

The funds collected for Teams through the use of our crowdfunding Service are nonrefundable. Team supporters' contributions are transferred to the account of the Team Creator as soon as the Team reaches its time limit.

 

The Company will not be responsible for issuing refunds to Team Supporters. If in certain rare circumstance that a refund is due back to a Team Supporter, and the Company decides to refund the Team Supporter, the Team Creator must comply and immediately reimburse the Company for the entire amount refunded, plus any associated costs. 

 

A Team Creator can always  refund a Team Supporter at their own discretion.

 

 

Indemnification

The Company reserves the right to report any unlawful activity, to any applicable government agencies when we become aware of it.  

 

You agree to indemnify, defend and hold the Company, its parents, subsidiaries, affiliates, officers, partners, and employees, harmless from any claim, demand, liability, expense, or loss, including reasonable attorneys' fees, made by any third party due to or arising out of, or in any way connected with your use of or access to the Site, our Privacy Policy and or your violation of our TOU agreement. 

 

All content on the Company's web site is provided 'as is' and without warranties of any kind.  Neither we, or affiliated or related entities, including third-parties, nor the service providers, nor any person involved in the creation, production, and distribution of this web site, warrant that the functions contained in this web site will be uninterrupted or error-free, that defects will be corrected, or that the server that makes the content available will be free of viruses or other harmful components. We do not warrant or make any representations regarding the result that may be obtained from the use of this web site, or as to the reliability, accuracy, usefulness, or currency of any content, service and / or merchandise acquired pursuant to your use of this web site. You use this web site at your own risk.

 

Limitations of Liability

You acknowledge that the company offers a crowdfunding service to users, and the actual providers of products, services, gifts, featured on the site are offered by the independent Team creators, and third-party advertisers or affiliate, and not the Company. 

 

The Team creators, SGP, affiliate, and advertisers are not agents, partners or employees of the Company.  The Company shall not be liable, in any event, be it direct or indirect, for the acts, omissions, errors, representations, breaches, warranties, or negligence of any such party or for any personal injuries, death, property damage, or any other damages or expenses resulted to a Team, third-party affiliate, or advertiser.

 

We promise that our Services will be provided with reasonable skill and care.

We exclude all other express or implied terms, conditions, warranties, representations or endorsements whatsoever with regard to our Services, our website or any information provided through our website.

We will do our best to ensure that all materials and information published on our website are accurate, but please note that all content, materials and information on our website are provided on an 'as is' basis and you assume total responsibility and risk for your use of our website and use of all information contained within it.

We accept no liability for any indirect or consequential loss or damage, or for any direct or indirect loss of data, profit, revenue or business in each case, however caused, even if foreseeable. This means that we will not pay damages for any losses that are not directly associated with an incident that causes you to claim against us. In circumstances where you suffer loss or damage arising out of or in connection with the viewing, use or performance of our website or its contents, then we do not accept any liability for this loss or damage whether due to inaccuracy, error, omission or any other cause and whether on the part of GreenCrowds or our servants, agents or any other person or entity.

 

If we are liable to you for any reason, our liability will be limited to the amount of any donation you have made using the Services. This limit does not apply to any liability we may have for death or personal injury resulting from our negligence or for our fraudulent misrepresentation.

 

You are responsible for ensuring that your computer system meets all relevant technical specifications necessary to use our website and is compatible with our website. You also understand that we cannot and do not guarantee or warrant that any material available for downloading from our website will be free from infection, viruses and/or other code that has contaminating or destructive properties. You are responsible for implementing sufficient procedures and virus checks (including anti-virus and other security checks) to satisfy your particular requirements for the accuracy of data input and output.

 

The limitations and exclusions in this clause do not affect your non-excludable statutory rights and only apply to the extent permitted by applicable law.

 

 

Disputes and Arbitration

All disputes arising out of this Policy and our TOU or use of the Company's Web Site shall be exclusively resolved under confidential binding arbitration held in the state or federal courts located in London, UK.

 

Privacy

Your privacy is very important to us.  Please review our Privacy Policy to learn how we use and protect your personally identifiable information.  By using this site you agree to the terms of this agreement and understand and agree with our Privacy Policy.
